In accordance with our bylaws (statuts), we are managed by our board of directors (conseil d’administration), which must be composed of a minimum of 3 and a maximum of 18 members. Our board of directors is currently composed of six members. Each member of the board of directors is appointed for a term of up to six years and we cannot have more than one third of our directors be older than 70 years of age. Under French law, the board of directors has broad authority to take actions in the name of our company within the scope of our corporate purpose (subject to the authority expressly reserved by law to the shareholders). In accordance with our bylaws, each director must be the direct legal owner of at least one of our shares throughout his or her term of office.
